1. About These Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”, “User”) and MYSOVA LTD, a company registered in England and Wales (company number 17154283), whose registered office is in London, United Kingdom (“MYSOVA”, “we”, “us”, “our”).

These Terms govern your access to and use of:

  • The MYSOVA consumer mobile application(“the App”) — available on iOS and Android, used by consumers to discover, check in to, and engage with nightlife venues.
  • The MYSOVA Business dashboard(“the Dashboard”) — a web-based platform at business.mysova.co.uk used by venue owners and their authorised staff to manage venue profiles, view analytics, run promotions, and access subscription features.

Together, the App and the Dashboard are referred to as the “Platform” or “Service”.

By creating an account, accessing, or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher).
  • If registering for the Dashboard, be duly authorised to represent the venue you are claiming or managing, with the legal capacity to bind that venue to these Terms.
  • Provide accurate, current, and complete information during registration and keep it updated.
  • Maintain only one account per individual. Creating duplicate or fictitious accounts is prohibited.

MYSOVA reserves the right to request proof of identity, age, or venue authorisation at any time. Failure to provide satisfactory proof may result in account suspension or termination.

3. Account Security

  • You are solely responsible for safeguarding your login credentials (email, password, and any multi-factor authentication tokens).
  • You must not share your credentials with any third party.
  • You must notify MYSOVA immediately at hello@mysova.co.uk if you suspect or become aware of any unauthorised access to your account, security breach, or compromise of your credentials.
  • MYSOVA is not liable for any loss arising from your failure to maintain the confidentiality of your account.

4. Subscription Tiers & Billing

The MYSOVA Business Dashboard operates on a tiered subscription model:

Tier-specific feature availability is detailed on our Pricing page. Feature sets may be updated from time to time; we will give reasonable notice of material changes.

Billing. All payments are processed securely by Stripe. By subscribing, you authorise MYSOVA to charge your chosen payment method on a recurring monthly basis. All prices are stated in British Pounds Sterling (£) and are exclusive of VAT unless otherwise indicated.

Auto-renewal. Subscriptions renew automatically at the start of each billing period unless cancelled before the renewal date.

No pause option. Subscriptions cannot be paused. If you no longer wish to pay, you may cancel, which will downgrade your account to the Ghost (Free) tier at the end of the current billing period.

5. Cancellation & Refunds

30-day refund window (all subscriptions). You may cancel any new paid subscription within 30 days of first purchasefor a full refund — no questions asked. The window applies once, to the first paid subscription on your account; it does not reset on tier upgrades, renewals, or re-subscriptions. To request a 30-day refund, email hello@mysova.co.uk before day 30. Refunds are issued to the original payment method within 5–10 business days.

Annual subscriptions. Annual plans are billed in advance for 12 months of service. After the 30-day window above, annual subscriptions are non-refundable in part or in whole. You may cancel at any time; cancellation takes effect at the end of the paid annual period, and your dashboard remains active until that date.

Monthly subscriptions. Monthly plans are billed in advance for one month of service. After the 30-day window above, monthly subscriptions are non-refundable in part or in whole. You may cancel at any time; cancellation takes effect at the end of the current billing month.

Promotional discounts have no cash value. If you signed up using a promotional offer (for example, the founder 50%-off-for-6-months offer or any other discount code), and you request a refund within the 30-day window above, we will refund only the amount you actually paid. Promotional discounts cannot be converted into cash, credit, or a separate refund, and they are not paid out on cancellation.

B2B legal note. The Dashboard is sold to businesses (venue operators) for use in the course of their trade or profession. The 14-day statutory cooling-off period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 applies to consumer contracts and does not, as a matter of law, apply to B2B contracts. The 30-day refund window above is a contractual right we extend to all paid subscribers regardless of consumer/B2B status; it is not a statutory right.

Sole traders. If you are an individual sole trader contracting in your own name and arguably qualify as a consumer under section 2 of the Consumer Rights Act 2015, your statutory cancellation right is preserved: you may cancel within 14 days of purchase for a full refund unless you have expressly consented to immediate access to the Service and acknowledged you will lose this right once the Service is fully performed.

How to cancel. Cancel through the billing portal in your Dashboard settings, or email hello@mysova.co.uk. Your paid features remain accessible until the end of the paid period, after which your account reverts to the Ghost (Free) tier.

No partial refunds outside the 30-day window. Outside the 30-day window we do not issue refunds for unused portions of a billing period. This applies to mid-cycle cancellations, downgrades, and account deletions.

Downgrades. You may downgrade to a lower tier at any time. The downgrade takes effect at the start of the next billing period; no partial refund is issued for the difference in tier price.

6. Acceptable Use

You agree not to use the Platform to:

  • Engage in, facilitate, or promote any unlawful activity, including but not limited to drug distribution, underage drinking, or any act that violates applicable UK law.
  • Stalk, harass, bully, threaten, or intimidate any other user, venue staff member, or third party.
  • Create fake, misleading, or fraudulent profiles, venue listings, reviews, or check-ins.
  • Scrape, crawl, or programmatically extract data from the Platform without prior written permission from MYSOVA.
  • Send unsolicited communications (spam) to other users or venues through the Platform.
  • Reverse-engineer, decompile, or disassemble any part of the Platform, including but not limited to XP algorithms, pricing logic, or recommendation systems.
  • Attempt to gain unauthorised access to other users' accounts, MYSOVA's infrastructure, or any connected systems.
  • Interfere with or disrupt the Platform, servers, or networks, including through denial-of-service attacks, malware, or excessive automated requests.
  • Use the Platform to collect personal data about other users without their explicit consent.
  • Circumvent, disable, or interfere with any security, rate-limiting, or access-control features of the Platform.

Online Safety Act 2023. The Platform incorporates user-to-user features (event listings, promotions, messaging, content uploads). You agree not to upload, post, transmit, link to, or otherwise make available through the Platform any content that constitutes:

  • Child sexual abuse material (CSAM) or any content that sexualises a minor.
  • Terrorism content, content that encourages or assists terrorism, or material from a proscribed organisation.
  • Intimate-image abuse (so-called “revenge porn”) or content shared without the subject's consent.
  • Content that incites or threatens violence, or is grossly offensive, obscene, or menacing in character.
  • Content that facilitates fraud, controlled-drug supply, illegal firearms, human trafficking, or other priority offences listed in the Online Safety Act 2023.
  • Content harassing, threatening, or abusing any individual, including coordinated harassment.

Reports of illegal content can be made via the in-Platform reporting tools or by emailing legal@mysova.co.uk. We will assess reports promptly and remove content that is illegal or violates these Terms. We cooperate with law enforcement and Ofcom (the regulator under the Online Safety Act) where required.

Violation of this section may result in immediate account suspension or termination, at MYSOVA's sole discretion, without prior notice or refund, and may be reported to the relevant authorities.

7. Venue Owner Obligations

If you register as a venue owner or manager on the Dashboard, you additionally agree to:

  • Provide and maintain accurate, current venue information (name, address, operating hours, capacity, licence details).
  • Ensure all promotions, events, and marketing content published through the Dashboard comply with applicable UK law, including the Advertising Standards Authority (ASA) and Committee of Advertising Practice (CAP) codes, particularly in relation to alcohol advertising.
  • Honour all offers and promotions displayed to consumers via the App. Bait-and-switch tactics or misleading offers are strictly prohibited.
  • Not attempt to re-identify anonymised users. The analytics and data provided through the Dashboard are anonymised and aggregated. Any attempt to de-anonymise, cross-reference, or identify individual consumers from aggregated data is a material breach of these Terms.
  • Maintain appropriate staff access controls. You are responsible for all activity conducted by staff members you invite to your Dashboard account, including revoking access promptly when staff leave your employment.
  • Hold and maintain all licences and permits required to operate your venue lawfully, including (where applicable) premises licences, personal licences, and late-night refreshment licences under the Licensing Act 2003.
  • Not use MYSOVA data, analytics, or consumer engagement tools to discriminate against any individual or group on the basis of protected characteristics under the Equality Act 2010.

8. User Content

“User Content” means any text, images, photographs, videos, event descriptions, venue descriptions, reviews, messages, or other materials that you upload, post, or transmit through the Platform.

Ownership. You retain all ownership rights in your User Content. MYSOVA does not claim ownership of any content you submit.

Licence grant. By submitting User Content, you grant MYSOVA a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, display, and distribute your User Content solely for the purposes of operating, promoting, and improving the Platform. This licence continues for as long as your User Content remains on the Platform and for a reasonable period thereafter to allow for removal from caches and backups.

Your responsibility. You represent and warrant that you own or have the necessary rights to submit your User Content, and that it does not infringe the intellectual property, privacy, or other rights of any third party.

Moderation. MYSOVA reserves the right (but has no obligation) to review, edit, or remove any User Content that violates these Terms, is illegal, or is otherwise objectionable, at our sole discretion.

9. Gamification & XP

The Platform incorporates gamification features including, but not limited to, experience points (“XP”), badges, ranks, levels, streaks, and leaderboards (collectively, “Game Elements”).

  • Game Elements have no monetary or cash value and cannot be exchanged, traded, sold, or redeemed for currency, goods, or services outside the Platform.
  • Game Elements do not constitute property. You have no proprietary or ownership right in any Game Elements, regardless of any effort or money spent.
  • MYSOVA reserves the right to adjust, reset, recalculate, or remove Game Elements at any time for reasons including, but not limited to, bug fixes, system balancing, abuse prevention, or changes to Platform features.
  • Manipulating, exploiting, or artificially inflating Game Elements (e.g., through fake check-ins, bot activity, or collusion) is a violation of these Terms and may result in account suspension or termination.

10. Data & Analytics

The analytics, insights, and data provided through the Dashboard are derived from opted-in consumer app users who have consented to sharing their activity data in accordance with our Privacy Policy.

  • All venue-facing analytics are anonymised and/or aggregated. Individual consumer identities are never disclosed to venue owners.
  • Analytics data is provided on an “as is” basis. While we strive for accuracy, MYSOVA does not warrant that analytics data is complete, error-free, or suitable for any particular purpose.
  • You must not use analytics data to attempt to identify, contact, or target individual consumers outside the Platform.

11. Safety & Moderation

MYSOVA is committed to maintaining a safe and respectful environment for all users. To that end:

  • The Platform provides reporting and blocking tools. Users can report inappropriate behaviour, content, or safety concerns directly within the App or Dashboard.
  • MYSOVA may, at its sole discretion, take enforcement actions including issuing warnings, restricting features, temporarily suspending, or permanently terminating any account found to be in violation of these Terms or posing a risk to the safety of the community.
  • Enforcement decisions are made by MYSOVA and are final, except where applicable law requires otherwise. We will endeavour to provide reasons for enforcement actions where practicable.
  • MYSOVA cooperates with law enforcement authorities and may disclose user information in response to valid legal requests, court orders, or where we reasonably believe disclosure is necessary to protect the safety of any person.

12. Service Availability

MYSOVA will use commercially reasonable best effortsto keep the Platform available, but does not commit to a specific uptime percentage at this stage of the product's lifecycle. We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.

  • We may perform scheduled maintenance with reasonable advance notice where practicable.
  • We may need to perform emergency maintenance without prior notice to address security vulnerabilities or critical issues.
  • The Platform may be affected by factors outside our control, including third-party service outages, internet connectivity issues, or force majeure events.
  • MYSOVA reserves the right to modify, suspend, or discontinue any feature or the entire Platform, temporarily or permanently, with reasonable notice. Where a paid feature is permanently discontinued, affected subscribers will receive a pro-rata refund or credit.

We may, in the future, publish a target uptime SLA for paid tiers. Until we do so, no specific availability commitment is made or implied.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

  • MYSOVA's total aggregate liability to you for any and all claims arising out of or in connection with the Platform or these Terms shall not exceed the total fees paid by you to MYSOVA in the 12 months immediately preceding the event giving rise to the claim. For users on the Ghost (Free) tier, total liability is capped at £100.
  • MYSOVA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, whether arising in contract, tort (including negligence), strict liability, or otherwise.
  • MYSOVA shall not be liable for any loss arising from reliance on analytics data, including business decisions made based on Dashboard insights.

Preserved rights.Nothing in these Terms excludes or limits MYSOVA's liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any matter for which it would be unlawful for us to exclude or restrict liability under applicable UK law, including your statutory rights under the Consumer Rights Act 2015.

14. Indemnities

You agree to indemnify, defend, and hold harmless MYSOVA, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms.
  • Your use of the Platform in a manner not authorised by these Terms or applicable law.
  • Any User Content you submit that infringes the rights of a third party.

Additional venue owner indemnities. Venue owners additionally agree to indemnify MYSOVA against claims arising from:

  • Unlawful, misleading, or non-compliant promotions, events, or advertising published through the Dashboard.
  • Inaccurate or fraudulent venue listings or information.
  • Failure to honour promotions or offers displayed to consumers via the App.
  • Any breach of licensing requirements or regulatory obligations applicable to the operation of the venue.

15. Intellectual Property

Platform IP.MYSOVA and its licensors own all intellectual property in the Platform — including the software, source code, databases, design system, branding, the MYSOVA name and logo, the XP / SVS / SOVA Score systems, the Live Floor and Paths algorithms, and all derived analytics. Nothing in these Terms transfers any ownership of MYSOVA IP to you.

Your venue data and brand.You retain ownership of (i) your venue's name, logo, and brand marks; (ii) operational details you provide (address, hours, capacity, photos, descriptions); and (iii) any User Content you submit through the Platform. You grant MYSOVA a worldwide, non-exclusive, royalty-free, sublicensable licence to host, display, reproduce, and distribute your venue data and brand marks within the Platform and our marketing materials, for the purpose of operating, promoting, and improving the Service. This licence ends when your account is deleted, except for residual copies in backups (purged on a rolling basis) and aggregated/anonymised data that no longer identifies your venue.

Aggregated and anonymised data.MYSOVA may use aggregated and anonymised data derived from Platform usage (including your venue's analytics) to improve the Service, benchmark industry trends, and publish general insights. Such data will not identify you, your venue, or any individual consumer.

Feedback. If you provide feedback, suggestions, or feature requests, you grant MYSOVA a perpetual, irrevocable, royalty-free licence to use that feedback without obligation or attribution.

16. Termination

By you (for convenience). You may delete your account at any time through your account settings (in the App or Dashboard) or by contacting us at hello@mysova.co.uk. If you have an active paid subscription, deletion does not entitle you to a refund for the remaining billing period.

By MYSOVA (for convenience). MYSOVA may terminate your account or any paid subscription on 30 days' written notice to the email address on your account, for any reason or no reason. If we terminate a paid subscription for convenience, we will refund any pre-paid fees pro-rata for the unused portion of the billing period.

By MYSOVA (for cause). We may suspend or terminate your account immediately, without prior notice or liability, if:

  • You breach these Terms or any applicable law.
  • You engage in fraudulent activity, abuse, or conduct that threatens the safety of the community.
  • Your subscription payment fails and remains unpaid after reasonable attempts to collect.
  • We are required to do so by law, regulation, or court order.
  • We reasonably believe your account has been compromised.

Effect of termination. Upon termination, your right to access the Platform ceases immediately. We will handle your personal data in accordance with our Privacy Policy, including data retention obligations under applicable law. Sections of these Terms that by their nature should survive (including limitation of liability, indemnities, governing law, and intellectual property provisions) will continue in effect after termination.

17. Governing Law

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms. Nothing in this clause affects your statutory rights as a consumer to bring proceedings in the courts of your country of residence if that country is within the United Kingdom.

18. Changes to These Terms

MYSOVA reserves the right to update or modify these Terms at any time. When we make material changes, we will:

  • Update the “Effective” date at the top of this page.
  • Provide notice via email to registered users and/or a prominent notice within the Platform at least 30 days before material changes take effect.

Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and delete your account.
